CAREER BACKGROUND

Mr. Howard is Chairman of Xantus Corporation (formerly Phoenix Healthcare Corporation), an investor owned company that owns and operates health maintenance organizations. Phoenix Healthcare Corporation was named the 44th largest privately-held company in Nashville in 1996.

Mr. Howard began his career in the health field as Vice President-Finance and Business at Meharry Medical College in November 1973. He joined Hospital Affiliates International, Inc., as Vice President-Planning in 1977. He was promoted to Vice President of the INA Health Care Group in May 1979, and Vice President and Treasurer of Hospital Affiliates International, Inc. in December 1980. Mr. Howard joined Hospital Corporation of America as Vice President and Treasurer in August, 1981. He was promoted to Senior Vice President - Public Affairs in October, 1988. Mr. Howard resigned from HCA in January,1989 and became Chairman of Phoenix Holdings, Inc. to pursue investments in healthcare and broadcasting.

From 1963 to 1966, Mr. Howard was Financial Analyst with General Electric Company. In 1966 and 1967, he served as a White House Fellow with U.S. Ambassador Arthur Goldberg. In 1967, he was Direct~r - Educational Computer Services at Howard University. From 1968 to 1972, he held various positions with TAW International Leasing, Inc., culminating as Vice President-Finance, Secretary and Treasurer. In 1972, he founded Phoenix Communications Group, Inc. which owns and operates broadcasting properties.

EDUCATION

Mr. Howard received a B.S. degree from Oklahoma State University in 1961 and a M.A. degree from Stanford University in 1963.

PROFESSIONAL, BUSINESS AND CIVIC ACTIVITIES

Mr. Howard was appointed by House Speaker Newt Gingrich and currently serves as a member of the Bipartisan Commission on the Future of Medicare. Mr. Howard is a Director of Genesis Health Ventures, O'Charley's, Inc., The Potomac Group, and Nashville Electric Service, President and Director of 100 Black Men of Middle Tennessee, Inc., Past Chairman of the Easter Seal Society of Tennessee, Inc., National Director of the Easter Seal Society (1997-99); Chairman-Elect (1997-98), Vice Chairman(1995) and Director of Nashville Chamber of Commerce(1993-l999),Trustee and National Director and 1988-1991 Co-Chairman of the National Conference of Christians and Jews, Inc., 1993-1994 and 1986-1987 Commission Chairman and 1988- 1992 Finance Committee Chairman of Metropolitan Nashville Convention Center, former Trustee of Fisk University, former Chairman of Inner City Task Force Committee of the Boy Scouts, former Director of the Nashville Branch of the Federal Reserve and former Director of Citizens Bank in Nashville. He is Past-Chairman, President and Director of the Federation of American Health Systems, and multi-hospital systems' 1988 representative to the American Hospital Association House of Delegates. Mr. Howard was a member of the 1982 Advisory Council on Social Security which examined Medicare and former Southern Area Vice President and Director of Financial Executives Institute. Mr. Howard chaired the Fisk University UNCF Campaign in 1985, 1986, 1991, 1992 and 1993.

Mr. Howard received the Outstanding CEO Award among the 100 largest privately-held businesses in Nashville in 1997 and the Nashville Business Journal's 1995 Small Business Executive of the Year Award. From March through June 1995, Mr. Howard served as a member of the Governor's TennCare Roundtable. Mr. Howard was a member of the Tennessee Governor's Advisory Committee on Indigent Care. He is a member of UT's College of Business Advisory Committee and was named Distinguished Businessman of the Year; UT Knoxville, College of Business Administration,1985. In 1983, Mr. Howard was inducted into the Oklahoma State University School of Business Hall of Fame. Mr. Howard received the 1980 and 1984 Federation of American Hospitals President's Achievement Award. In 1994, Mr. Howard received the Nashville NAACP Branch Image Award for Lifetime Achievement and the NCCJ Human Relations Award.

Mr. Howard was born on May 8, 1939, in Marietta, Oklahoma. He is married to the former Karen Anica Wilson. They have two children, Anica Lynne and Samuel, II.
